Terms of Service

Effective Date: March 25th, 2025

This Terms of Service (“Agreement”) is entered into by and between Douloi Inc. d.b.a. Doulos Digital (“Company”, “we”, “our”, or “us”) and ______________________ (“Client”). These Terms govern your access to and use of our website, products, and services, including AI-Enhanced Smart Websites, digital marketing campaigns, and other managed services (collectively, the “Services”).

1. Service Overview

Doulos Digital offers fully managed website design and digital marketing services. Our website design services include AI-Enhanced Smart Website packages. Our marketing services include SEO, Google Ads, Meta Ads, TikTok Ads, and related digital campaigns. These are offered under separate or bundled monthly subscription plans and setup fees depending on the selected tier and service.

Starter – $1,000 Setup + $97/month

Deluxe – $2,000 Setup + $197/month
Includes all Starter features plus:

  • Payment Processing

Premium – $3,000 Setup + $397/month
Includes all Deluxe features plus:

  • 10–12 Page Website
  • AI Chatbot & Voice AI Assistant for Booking

Shopify Design:
Custom-quoted projects based on store complexity. Retainer options available for ongoing support.

3. Digital Marketing Services & Pricing

3.1 SEO Services

Includes:

  • Reporting Dashboard, GBP Optimizations/Posts/Management

  • Search Console, Google Analytics

Plans:

  • Starter: $795/month (includes 2 local/service pages)
  • Growth: $1,295/month (includes 4 local/service pages)
  • Pro: $1,595/month (includes 8 local/service pages)
  • National: $1,495/month (includes blogging, guest posting)

3.2 Google Ads Services

Includes:

  • Search, Video, Display, YouTube Campaigns
  • Keyword & Ad Copywriting, Tracking, Retargeting
  • Budget/Ad/Bid Management, Ad Extensions

Plans:

  • YouTube Ads: $395/month
  • Local Ads: $595/month
  • National Ads: $795/month

3.3 Meta Ads (Facebook & Instagram)

Includes:

  • Weekly Optimizations, Custom Audiences
  • Ad Copy & Image Creative
  • Reporting, Budget Strategy & Testing
  • In-App Lead Form Creation

Plan:

  • $495/month

3.4 TikTok Ads

Includes:

  • Spark/TopBuzz/Conversion Ads
  • Retargeting, Lookalike Audiences
  • Creative Optimization & Testing

Plan:

  • $395/month

4. Service Terms

4.1 Minimum Term (Web Design Only)

Web design packages require a 24-month minimum commitment. Early cancellation will not release you from monthly fees.

4.2 Cancellation (Marketing Only)

Clients may cancel digital marketing services with 30 days’ written notice. Final transition and wrap-up services will be included during this period.

5. Ownership & Access

  • Websites: Built on Doulos Digital’s proprietary platform; cannot be externally hosted, exported, or transferred. No admin or source file access is provided.
  • Marketing Assets: Owned by client upon full payment of invoices.

6. Design Process & Timeline

  • Timelines: 4–6 weeks upon receipt of all content/materials.
  • Content: Provided by client or created at $150/page.
  • Photography: Custom recommended, stock available.
  • Branding Input: Client should share inspiration, colors, fonts, etc.

7. Monthly Website Maintenance

Included:

  • Unlimited content edits (existing pages)
  • Technical support and performance monitoring
  • Hosting
  • New page creation not included – available at additional cost.

8. SEO for Web Design

Each website includes:

  • Keyword optimization
  • SEO-friendly URLs, meta titles, descriptions
  • On-page SEO for all packages
  • Premium plan includes local citation boosts

9. Payment Terms

  • Setup fees due before project kickoff.

  • Monthly fees begin upon website launch or the initiation of marketing campaigns.

  • Payments are billed automatically on a monthly basis using your preferred method:

    • ACH payments: No additional charge.

    • Credit card payments: Subject to a 4% processing surcharge.

  • If payment fails or is not received within 7 days of the due date, services may be suspended until payment is resolved. Late fees or reinstatement fees may apply.

10. Client Responsibilities

Clients agree to:

  • Provide timely materials (logos, text, photos, etc.)
  • Give feedback during design/marketing execution
  • Make timely payments
  • Abide by legal use of platforms

Delays in communication or asset delivery may impact timelines.

11. Confidentiality

Both parties agree to protect confidential information shared during the engagement.

12. Non-Solicitation of Employees

Client may not hire or solicit Company staff during the agreement or for 24 months thereafter. Breach results in liquidated damages of $25,000 or 100% of the individual’s last annual pay—whichever is greater.

13. Refund Policy

We offer a 30-day money-back guarantee on web design subscriptions. After 30 days, all payments are non-refundable.

14. Limitation of Liability

To the maximum extent allowed by law, Doulos Digital is not liable for indirect, incidental, or consequential damages. Liability is capped at the amount paid in the prior 12 months.

15. Modifications to Terms

We may modify these Terms at any time. Updates will be posted to our site and effective upon posting. Continued use of services signifies acceptance.

16. Governing Law

This Agreement is governed by the laws of the State of Texas.

17. Entire Agreement

This document, including any referenced documents or links, constitutes the full agreement between both parties and supersedes all previous understandings.
